General B2B terms

The general terms of contracting are delivered with the proforma invoice of each transaction and prevail over this summary. This page explains how we trade so that both sides know what to expect before an offer is made.

1. Scope and parties

202 Acacia Trade BCN S.L. buys and sells stock as principal. We deal only with companies in the trade: brands, licensees, distributors, wholesalers, department stores, multi-brand retailers, outlets and boutiques. Before trading we verify company registration and fiscal identifiers (VAT or equivalent) and may ask for supporting documents. We do not sell to consumers.

2. Stock sheets and offers

Stock sheets are shared on request with verified counterparties and are confidential. They are indicative until we confirm an offer in writing. Each offer states brands, quantities, sizes, prices, availability, permitted markets and validity period. Sample records on this website are illustrative only.

3. Orders and reservation

An order is placed by accepting the offer in writing. From that moment the stock stays reserved for 48 hours. If the payment or confirmation set in the proforma is not received within that period, the stock becomes available again without notice.

4. Prices, invoicing and payment

Prices are in euros unless stated otherwise, exclusive of VAT and of any duty or tax at destination. Each transaction is invoiced by 202 Acacia Trade BCN S.L. from Spain. Unless the proforma says otherwise, payment is 100% by bank transfer against the proforma, before the goods leave; goods are not released before full payment. Bank charges are borne by the payer.

5. Delivery

Delivery terms follow the Incoterm stated in the proforma (by default, EXW or FCA Barcelona, depending on the lot). Dates are estimates given in good faith. Risk passes according to the agreed Incoterm; ownership passes on full payment.

6. Inspection and claims

The buyer must inspect the goods on receipt and notify any discrepancy in quantity or condition within five working days, with photographs and packing references. Accepted claims are settled by replacement, credit or refund at our choice. Outside that period, and except for hidden defects, no returns are accepted.

7. Permitted markets and channels

Some lots carry restrictions on the countries or sales channels in which they may be sold. The buyer undertakes to respect the restrictions stated in the offer, not to divert the goods, and to hold us harmless from any claim arising from a breach.

8. Authenticity and documents

We trade original goods and provide the origin and shipping documents available for each lot. Third-party brands are cited only to identify the goods; no licence or endorsement is implied.

9. Liability

Our liability for any transaction is limited to the invoiced value of the goods concerned. We are not liable for loss of profit or indirect damage. Nothing limits liability that cannot be limited by law.

10. Confidentiality

Stock sheets, prices, sources and counterparties are confidential and may not be shared with third parties without our written consent.

11. Force majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including transport disruption, customs action or supplier failure.

12. Data protection

Personal data exchanged in the course of a trade is processed as described in the privacy policy.

13. Governing law and jurisdiction

Spanish law applies. Any dispute is submitted to the courts of Barcelona, unless a mandatory rule provides otherwise. Where this page and the Spanish version differ, the Spanish version prevails. Last updated: September 2026.
